Terms of Service

By downloading or using the Cella mobile application (the “App”), you agree to be bound by these Terms of Service (“Terms”). The App is operated by Besharah Inc. (“Company,” “we,” “us,” or “our”).

If you do not agree to these Terms, do not use the App.

You must be of legal drinking age where you live to use the App. In the United States, this means you must be at least 21 years of age. By using the App, you confirm that you meet this requirement.

You can use the App without an account. Creating one, with your email address or with Sign in with Apple, lets you back up your cellar and use it on another device. You are responsible for keeping your sign-in details confidential and for activity under your account.

You can delete your account at any time in the App under More > Manage Account > Delete Account.

Free plan: The free plan includes label scanning, up to 12 bottles in one cellar, basic bottle details, and cloud backup when you are signed in.

Cella Premium: Cella Premium (formerly Cella Pro) is an optional subscription, billed monthly or yearly, that unlocks the rest of the App, such as unlimited bottles, multiple cellars, drinking windows, estimated values, critic scores, taste profiles, food pairings, serving advice, producer details, the wine journal, and collection insights. The App shows what each plan includes, and this may change over time.

Price: The price and billing period are shown in the App before you subscribe. Prices vary by country. If a free trial or an introductory price is offered, its length and the price charged afterwards are also shown before you start.

Billing and renewal: Payment is charged to your Apple Account when you confirm the purchase. A subscription renews automatically unless you cancel at least 24 hours before the end of the current period, and a free trial becomes a paid subscription unless you cancel at least 24 hours before it ends. You can manage or cancel a subscription in your App Store account settings. Deleting the App or your Cella account does not cancel a subscription.

Refunds: Purchases are processed by Apple, and refund requests are handled by Apple under its own policies.

You agree not to:

• Use the App for any illegal purpose
• Reverse engineer, decompile, or disassemble the App
• Use bots, scrapers, or automated tools to access the App
• Promote the sale or consumption of alcohol to minors
• Interfere with or disrupt the App or its servers

The App, including its design, code, features, and content, is owned by Besharah Inc. and is protected by intellectual property laws. You keep ownership of your collection data, notes, and personal content.

You are responsible for the content you add to the App, including wine details, tasting notes, ratings, and label photos. You grant us a limited license to store and process this content only to provide the App to you.

The App uses artificial intelligence, including services from other companies, to read wine labels and to gather wine information such as estimated values, critic scores, drinking windows, and food pairing suggestions. This information is provided for convenience and general interest only.

It may be incomplete, out of date, or wrong. Estimated values are not appraisals and are not investment advice. Critic scores are gathered from public sources and belong to their publishers; Cella is not affiliated with or endorsed by them. Check anything important for yourself.

Cella is a tool for keeping track of a wine collection. It does not sell or deliver alcohol. Please enjoy wine responsibly.

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BESHARAH INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

Our total liability shall not exceed the total amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms takes away rights you have under consumer protection laws that cannot be waived.

You agree to indemnify, defend, and hold harmless Besharah Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your misuse of the App or your violation of these Terms.

You may stop using the App at any time. We may suspend or end your access to the App if we reasonably believe you have violated these Terms or that your use harms other users, us, or third parties.

These Terms are between you and Besharah Inc. only, not Apple. Apple is not responsible for the App or its content and has no obligation to provide maintenance or support for it.

We grant you a personal, non-transferable license to use the App on Apple devices that you own or control, as permitted by the App Store’s usage rules. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation for the App.

Besharah Inc., not Apple, is responsible for addressing any claims relating to the App, including product liability claims, claims that the App fails to conform to a legal requirement, consumer protection or privacy claims, and claims that the App infringes someone else’s intellectual property rights.

You confirm that you are not located in a country subject to a U.S. Government embargo, or designated by the U.S. Government as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties. You must also comply with any third-party terms that apply when you use the App.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict of law rules. Any dispute will be heard by the courts of Ontario. If you are a consumer, you also keep the protection of any mandatory laws of the place where you live.

We may update these Terms from time to time. We will post the updated Terms on this page and change the date above. Your continued use of the App after a change means you accept the revised Terms.
